The short version

  • Copious is software for working leads, tracking sales and paying commission. It doesn't place, record or route calls or texts.
  • You're responsible for how your team contacts people, including under the TCPA, the Telemarketing Sales Rule and Do Not Call laws.
  • Every list you upload must already be scrubbed against the National Do Not Call Registry, state DNC lists and your own DNC list.
  • Your data is yours. You can export it, and we delete it after you leave.
  • Monthly plans can be cancelled any time. Annual plans are paid for the full year.

01This agreement

These terms are an agreement between [BUSINESS LEGAL NAME] (“Copious,” “we” or “us”) and the business that creates a Copious account (“you” or the “agency”). By creating an account or using Copious, you agree to these terms and to our Privacy Policy.

If you accept these terms for a company, you confirm that you're allowed to bind that company. The people you invite (“users”) use Copious under your account, and you're responsible for what they do in it.

02What Copious does

Copious gives sales agencies a list of leads to call, a call screen with scripts, sale and install tracking, a team calendar, commission and payout tracking, and reports.

Copious doesn't dial, connect, record or send calls, texts or voicemails. Your agents contact people with their own phones and services, outside Copious.

We may improve and change Copious over time. We won't remove a core feature you pay for during your current billing period without telling you first.

03Accounts and seats

  • Copious is for businesses in the United States. Every user must be at least 18.
  • Give us accurate account information and keep it up to date.
  • Each seat is for one named person. Don't share logins.
  • Keep passwords safe and tell us right away if you think someone has used your account without permission.
  • You're responsible for all activity under your account.

04Calling laws and Do Not Call lists

You are solely responsible for every call, text, voicemail and email your team makes

That includes complying with every law that applies to them. Copious gives you tools to organize your work. It doesn't make your calling legal.

The laws that apply include the Telephone Consumer Protection Act (TCPA, 47 U.S.C. § 227) and the FCC's rules under it; the FTC's Telemarketing Sales Rule (16 C.F.R. Part 310); the CAN-SPAM Act; and state telemarketing and do-not-call laws, including Texas Business and Commerce Code Chapters 302 and 304.

Before you upload or enter any phone number, you will:

  1. scrub it against the National Do Not Call Registry within the period the law requires (currently at least every 31 days);
  2. scrub it against every state do-not-call list that applies;
  3. scrub it against your own internal do-not-call list; and
  4. have any consent the law requires to contact that person in the way you plan to, including prior express written consent where it's required.

While you use Copious, you will also:

  • honor do-not-call requests promptly and keep the records the law requires;
  • call only during the hours the law allows in the called person's local time. Copious shows a lead's local time as a convenience, but you're responsible for getting it right;
  • hold every registration, license and bond your calling requires, such as Texas telephone solicitation registration where it applies, and any authorization you need from the providers whose services you sell; and
  • make sure your scripts and sales practices are truthful and lawful.

What Copious doesn't do

Copious doesn't check numbers against the National Do Not Call Registry or any state list. When you mark a number “Do not call,” Copious blocks it from your later uploads, only within your account. That's a convenience. It isn't a compliance program and doesn't replace scrubbing.

05Your data

Everything you and your users put into Copious is your data (“agency data”). You own it. You give us permission to store, process and display it only as needed to provide, secure and support Copious for you. Our Privacy Policy explains how we handle it.

You confirm that:

  • you have the right to use the agency data you upload, and it was collected lawfully; and
  • you won't enter sensitive information, such as Social Security numbers, bank or full card numbers, health information, government ID numbers, or information about children.

You can export your sales and activity log as CSV files from the app at any time, and ask us for a copy of your other data. After you cancel, we keep your data for 30 days so you can export it, then delete it.

06Acceptable use

You won't, and won't let anyone else:

  • use Copious for anything illegal, deceptive or harassing;
  • upload data you aren't allowed to use;
  • try to see another agency's data, or get around Copious's security or access rules;
  • copy, reverse engineer, resell or rent out Copious;
  • scrape Copious, overload it, or interfere with how it runs; or
  • use Copious to sell anything illegal.

07Plans, billing and cancelling

  • Copious is priced per seat. You choose an annual plan, paid yearly, or a monthly plan, paid monthly. The prices on our pricing page when you subscribe or renew apply.
  • Fees are paid in advance and don't include taxes, which you pay where they apply.
  • If you add seats during a billing period, we may charge a prorated amount for the rest of that period.
  • Plans renew automatically for the same length unless you cancel before the renewal date.
  • Monthly plans can be cancelled any time. Cancelling takes effect at the end of the current month, and we don't refund partial months.
  • Annual plans are paid for the full year. Cancelling stops the next renewal. We don't refund unused months unless the law requires it.
  • We'll give you at least 30 days' notice of a price change. It applies from your next renewal.
  • If a payment fails and isn't fixed after we notify you, we may suspend your account until it is.

08Suspension and termination

You can cancel at any time by contacting us at [CONTACT EMAIL].

We may suspend or close your account if you break these terms, especially the calling-law rules in Section 4, if you don't pay, or if your use puts Copious or other customers at risk. We'll give you notice first when it's practical.

When your account ends, your users lose access, and your data is handled as described in Section 5. Sections 5, 9 through 13, and 15 continue to apply after the account ends.

09Our software

Copious's software, design and brand belong to us. While your subscription is active, you have a limited, non-transferable right to use Copious for your own business. If you send us ideas or feedback, we may use them without any obligation to you.

10Disclaimers

Copious is provided “as is” and “as available.” As far as the law allows, we make no warranties beyond those stated in these terms, including any implied warranties of merchantability, fitness for a particular purpose or non-infringement. We don't promise that Copious will be uninterrupted or error-free.

Copious doesn't give legal advice. Features such as local-time display, “Do not call” marking and scripts are tools. They don't guarantee compliance with any law. You're responsible for your scripts and how your team uses them.

11Limitation of liability

As far as the law allows:

  • neither party is liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue or data; and
  • our total liability for all claims about Copious is limited to the amount you paid us in the 12 months before the claim arose.

These limits don't apply to your payment obligations or to your obligations under Section 12.

12Your responsibility for claims

You will defend and indemnify Copious and its owners, employees and contractors against all claims, fines, penalties, damages and costs, including reasonable attorneys' fees, that arise from:

  • calls, texts, voicemails or other messages made by you or your users;
  • any violation of the TCPA, the Telemarketing Sales Rule, Do Not Call laws or other calling or marketing laws by you or your users;
  • your agency data, including any claim that you didn't have the right or consent to use it; or
  • your breach of these terms.

13Governing law and disputes

These terms are governed by the laws of the State of Texas, without regard to its conflict-of-law rules, and by applicable federal law.

Before filing a claim, each party will first try to resolve the dispute informally by contacting the other and allowing 30 days to work it out. If that fails, any lawsuit must be brought only in the state or federal courts located in [COUNTY] County, Texas, and both parties consent to those courts.

14Changes to these terms

We may update these terms. We'll post the new version here and change the date at the top. For significant changes, we'll tell the agency owner by email or in the app at least 30 days before they take effect. If you keep using Copious after that, you accept the new terms.

15General

  • These terms and our Privacy Policy are the whole agreement between us about Copious.
  • You can't transfer this agreement without our written consent. We may transfer it as part of a merger, acquisition or sale of our business.
  • If part of these terms can't be enforced, the rest still applies.
  • Not enforcing a term right away doesn't mean we give up the right to enforce it later.
  • Neither party is liable for delays caused by events outside its reasonable control.
  • We're independent businesses. This agreement doesn't create a partnership or employment.
  • We send notices to the agency owner's email address. Send notices to us at the address in Section 16.
